It is a legally binding agreement between you and Stramit.  It applies to our provision, and your use, of the website and to the services that we provide through the website.  We agree to you accessing the website on the basis that you have accepted these Terms of Use, and in consideration for that acceptance.  If you access or use any part of our website then you are deemed to have read and understood, and unconditionally agree to be bound by and accept, the Terms of Use and any of our linked policies (including our Privacy Policy at stramit.com.au/privacy-policy).

The website allows users to search for and download Stramit product information and catalogues, sign up for Stramit email lists, access and download Stramit apps and design software, access Stramit social media pages, contact Stramit and search for retailers (Services Description).  You agree and acknowledge that you have a non-exclusive, non-assignable, non-sublicensable, revocable right to access the website for the Services Description.

You agree that any intellectual property rights in any comments that you may provide to us in connection with the website or requests or suggestions for new website features become Stramit’ sole and exclusive property immediately upon you providing the suggestion to Stramit, and you hereby assign all intellectual property rights in all and any such suggestions to us effective as soon as you provide them.

Exclusions and User Indemnity

To the maximum extent permitted by law, Stramit is not liable for:

1. any loss or damage (including loss or damage for personal injury or death, financial loss or any other type of loss or damage) associated with your use of the website or any failure of a communication sent via or in connection with the website;
2. for any loss of profit, loss of revenue, loss of use, loss of business, loss of opportunity, loss of goodwill, damage to credit rating, loss of production, business interruption or any remote, abnormal or unforeseeable loss however it arises or any kind of indirect, special or consequential loss or damage.

You agree to indemnify Stramit against any loss incurred by Stramit in relation to your failure to comply with these Terms of Use and/or third party claims received by Stramit arising as a result of your use of the website.

Miscellaneous

These Terms of Use are governed by and construed and enforced in accordance with the laws of the State of New South Wales, Australia. You agree to submit to the jurisdiction of the courts located in the State of New South Wales for resolution of all disputes arising from, concerning, or related to these Terms of Use and/or your use of the website.

If any of these Terms of Use are held to be invalid, unenforceable or illegal for any reason, the remaining Terms of Use will continue in full force.

Terms of Use – Stramit Customer Portal

This portal (Stramit Customer Portal) is owned and operated by Stramit Corporation Pty Limited ABN 57 005 010 195 (Stramit), including on behalf of its related body corporate, as members of the Fletcher Building Ltd group.

Please read these Terms of Use carefully.  It is a legally binding agreement between you and Stramit.  It applies to our provision, and your use, of the Stramit Customer Portal and to the services that we provide through the Stramit Customer Portal.  We agree to you accessing the Stramit Customer Portal on the basis that you have accepted these Terms of Use, and in consideration for that acceptance.  

These Terms of Use apply to each Stramit (including Morinda Australia Pty Ltd, FBSOL Pty Ltd and FBHS (Aust) Pty Ltd) trading account customer (Customer) and its personnel (including its officers, employees, contractors, consultants and agents) (Authorised Personnel) who access the Stramit Customer Portal whether via the primary account or customer created sub-accounts.

Registration

To access the Stramit Customer Portal service and content, a Customer must complete the registration process.

You can request registration online via our registration form or by contacting your Customer Service representative who can assist you with the online registration process.

You agree at all times:

• to provide Stramit with current, complete and accurate information and to maintain and update this registration data as required to keep it current, complete and accurate;
• to ensure that the Customer's login details that are used by its Authorised Personnel to access the Stramit Customer Portal and the details of the Customer's account are kept in a safe and secure manner;
• to notify Stramit through Customer Service (contact details via https://www.stramit.com.au/contact-us/) if you (or your Authorised Personnel) become aware that there is or has been an unauthorised use of the Customer's login details or account, or any other security breach relating to the Customer's account;
• that the Customer is responsible and liable for any person (including all Authorised Personnel) that uses the Customer's login details to access the Stramit Customer Portal, to make any changes to their account or to access Customer data; and
• that Stramit can rely upon any use of your login details, including disclosure of information relating to your registration and/or affairs with Stramit.

Stramit may (at its absolute discretion):

• accept or refuse the registration application of a Customer;
• suspend, ban or delete your account and/or prevent your access to the Stramit Customer Portal at any time,

for any reason whatsoever.

A Customer is only entitled to register one primary account on the Stramit Customer Portal.  The Customer is responsible for authorising and managing that primary account, and any user sub-accounts it creates, on the Stramit Customer Portal.  A Customer may update, edit or terminate its primary account (and any customer created sub-accounts) at any time.

Customers agree to be responsible for the acts or omissions of their Authorised Personnel.

You must be over the age of 18 years to access the Stramit Customer Portal. 

No costs are payable to register to use the Stramit Customer Portal, but you are responsible for any costs incurred in using the Stramit Customer Portal, including any charges imposed by their internet service provider.

Terms and Conditions of Sale

Unless we have expressly agreed otherwise with you in writing, all quotes issued and purchase orders accessible via the Stramit Customer Portal are governed by Stramit’s Terms and Conditions of Sale, a copy of which you would have received when you opened your trading account and which are available at stramit.com.au/terms-and-conditions.

Security of the Stramit Customer Portal

Stramit will use its reasonable endeavours to prevent any unauthorised entry into the Stramit Customer Portal.  However, neither Stramit nor any of its related bodies corporate (including without limitation Morinda Australia Pty Ltd, FBSOL Pty Ltd and FBHS (Aust) Pty Ltd, Fletcher Building (Australia) Pty Ltd or Fletcher Building Ltd) will be liable for any direct or indirect liability, damage or loss whatsoever incurred by a Customer if any third party gains unauthorised access to the Stramit Customer Portal. 

Stramit will never send an email to you asking for account or login details. Please do not reply to these.

Portal Content

Stramit has made every reasonable effort to ensure the accuracy of information provided on the Stramit Customer Portal, however, errors and omissions may occur.  Stramit does not warrant the accuracy, adequacy or completeness of information displayed on the Stramit Customer Portal, and neither Stramit nor any of its related bodies corporate (including without limitation Morinda Australia Pty Ltd, FBSOL Pty Ltd and FBHS (Aust) Pty Ltd, Fletcher Building (Australia) Pty Ltd or Fletcher Building Ltd) will be responsible or liable for any direct or indirect, liability, loss or damage which may directly or indirectly result from any advice, opinion, information, representation or omission whether negligent or otherwise, contained on the Stramit Customer Portal.  Customers are solely responsible for the actions they (including their Authorised Personnel) take in reliance on the content on, or accessed, through the Stramit Customer Portal.

Stramit reserves the right to make changes to the information provided on the Stramit Customer Portal at any time and without notice.

You agree not to “data mine” or “data scrape” any of the product information, pricing or portal functionality displayed on the Stramit Customer Portal for any purpose, and whether by electronic or any other means, whatsoever.

Use of the Stramit Customer Portal

You may access information on the Stramit Customer Portal in connection with purchasing goods from Stramit but otherwise neither the Stramit Customer Portal, nor any material on it, may be altered, modified, reproduced, transmitted or distributed without Stramit’s prior written consent.  

You assume all responsibility and risk for the use of the Stramit Customer Portal and the internet generally.  The materials are provided "as is", without any express or implied warranty of any kind including without limitation warranties or representations of merchantability, fitness for a particular purpose, non-infringement of intellectual property or suitability of the Stramit Customer Portal or the goods sold by Stramit.

Customer (and its Authorised Personnel) must not:

• use the Stramit Customer Portal for any activities that breach any laws or infringe a third party’s right (including any intellectual property rights);
• use the Stramit Customer Portal in a manner or way, or post to or transmit to or via the Stramit Customer Portal any material, which interferes with other users or our other customers or defames, harasses, threatens, menaces or offends any person or which prevents any other person from using or enjoying the Stramit Customer Portal;
• make fraudulent or speculative enquiries, purchases or requests through the Stramit Customer Portal;
• use another person or Customer's details without their permission or impersonate another Customer or person when using the Stramit Customer Portal;
• tamper with or hinder the operation of the Stramit Customer Portal;
• knowingly transmit any viruses, worms, defects, trojan horses or similar disabling or malicious code to the Stramit Customer Portal;
• remove any copyright, trade mark or other proprietary rights notices contained in or on the Stramit Customer Portal;
• use the Stramit Customer Portal other than in accordance with these Terms of Use; or
• attempt any of the above acts or engage or permit another person to do any of the above acts.

Privacy

Stramit will only share and use your personal information in accordance with its current Privacy Policy at stramit.com.au/privacy-policy.  By using the Stramit Customer Portal, you consent to Stramit sending commercial electronic messages and future marketing materials to you via various channels and media (including by email, SMS, phone and mail). 

Copyright and other intellectual property

Customer (and its Authorised Personnel):

• acknowledges that copyright in the Stramit Customer Portal, the software, design, text and graphics comprised in the Stramit Customer Portal, the selection and layout of the Stramit Customer Portal and the content and materials on the Stramit Customer Portal (the Materials) are owned by or licensed to Stramit; and
• may print hard copies of the Materials for the sole purpose of viewing, purchasing and paying for goods from Stramit but not for any other use, including commercial use;

The Stramit Customer Portal contains registered trade marks and other trade marks which are protected by law (including the Trade Marks Act 1995 (Cth)).  Customer must not use any of the marks or trade marks appearing on the Stramit Customer Portal or the Materials or our name or the names of our related bodies corporate without Stramit’s prior written consent. 

You are not permitted to copy, reproduce, sell or transmit by any means or otherwise exploit this platform or anything (including any image, written information, drawing, design or quote) contained on it, or supplied from your use of the platform, for any commercial purpose unless Stramit expressly authorises you to do so in writing.

Any links to third party websites are provided for convenience only, and the inclusion of any link does not imply any endorsement or verification by Stramit.  Stramit does not monitor the content of any other website and is not liable or responsible in relation to any content on them. For the purposes of this clause a "third party website" is any website other than the Stramit Customer Portal.

Customer agrees that it will not create a hyperlink to the Stramit Customer Portal without Stramit’s express written permission.  If Customer does create a hyperlink to the Stramit Customer Portal, Customer is responsible for all losses Stramit or any of its related bodies corporate may suffer as a result of that link, whether direct or indirect. Linking to the Stramit Customer Portal is at the Customer's own risk. The Customer agrees that will not frame any part of the Stramit Customer Portal by including advertising or other revenue generating material.

Exclusions and Customer Indemnity

To the maximum extent permitted by law, Stramit is not liable for:

• any loss or damage (including loss or damage for personal injury or death, financial loss or any other type of loss or damage) associated with your use of the Stramit Customer Portal, any failure of a communication sent via or in connection with the Stramit Customer Portal or arising from any unauthorised access by Authorised Personnel or 3^rd parties to the Stramit Customer Portal;
• for any loss of profit, loss of revenue, loss of use, loss of business, loss of opportunity, loss of goodwill, damage to credit rating, loss of production, business interruption or any remote, abnormal or unforeseeable loss however it arises or any kind of indirect, special or consequential loss or damage.

You agree to indemnify Stramit against any loss incurred by Stramit in relation to your failure to comply with these Terms of Use and/or third party claims received by Stramit arising as a result of your use of the Stramit Customer Portal, however your liability will be reduced to the extent any loss or damage arises from or is in connection with any act or omission of Stramit or its related bodies corporate.

Variations to these Terms of Use

From time to time Stramit may vary these Terms of Use without notice.  Please check these Terms of Use periodically for changes.  Customer’s continued use of the Stramit Customer Portal after the Terms of Use have been changed indicates acceptance of those changes.
